March/April 2024 Promotional Text Messaging Opt-In Sweepstakes

These official rules (“Official Rules”) apply to the “March/April 2024 Promotional Text Messaging Opt-In Sweepstakes” (the “Sweepstakes”) sponsored by W.S. Badcock Corporation (“Sponsor”), a Florida Corporation.

1.Eligibility. Sweepstakes are offered only to legal residents of Florida, Georgia, Alabama, Mississippi, South Carolina, North Carolina, Tennessee, and Virginia that are at least 18 years of age. Sponsor and its parents and subsidiary companies and Dealers and owners of a Badcock Home Furniture &more® Dealership and the employees, officers, directors, members, immediately family (spouse, mother, father, sister, brother, daughter, or son, regardless of where they live) or members of their same households (whether related or not) of such entities and individuals are not eligible. By entering, you agree to these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.

2.Promotion Period. The Promotion Period begins on Friday, March 1, 2024 at 12:01 a.m. E.S.T. and ends on Tuesday, April 30, 2024 at 11:59 PM E.S.T. Entries will be accepted on a rolling basis throughout the entire Promotion Period. One winner will be selected from Eligible Entries within 7 days of the end of the Promotion Period.

3. Entry. To enter the Sweepstakes, you must access the Internet and have a valid mobile phone number. Your compuer or phone must accept cookies or any successor or similar technology (now known or hereafter devised or discovered) which may be used by Sponsor for the purposes of entry tracking. During the Promotion Period, access Sponsor’s Web site at www.Badcock.com (the “Web site”) and when prompted (a) “opt-in” to Sponsor’s e-mail database and agree to receive e-mails from Sponsor, and (b) “opt-in” to Sponsor’s SMS database and agree to receive SMS and MMS messages from Sponsor. By opting in to receive both e-mails and SMS and MMS messages from Sponsor, you will automatically be entered into the Sweepstakes. Any other attempt at entry is void. You cannot exceed more than one (1) entry per e-mail address and mobile number during the Promotion Period. Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods. Any attempt by any participant to obtain additional entries beyond the limit by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. In the case of a dispute of the owner of an online entry, the authorized account holder of the e-mail address and mobile number used to register will be deemed to be the entrant. The “authorized account holder” is (a) the natural person assigned to an e-mail address by an Internet access provider, online service provide, Internet service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address and (b) the natural person assigned to a mobile phone number by a wireless phone carrier. Potential winner may be required to show proof of being the authorized account holder. All entries submitted in accordance with these Official Rules are referred to in these Official Rules as “Eligible Entries.”

IMPORTANT: IF YOU CHOOSE TO ENTER THE SWEEPSTAKES VIA A WIRELESS MOBILE DEVICE, DATA AND MESSAGING RATES MAY APPLY ACCORDING TO THE TERMS AND CONDITIONS OF YOUR SERVICE AGREEMENT WITH YOUR WIRELESS CARRIER. OTHER CHARGES MAY APPLY (SUCH AS NORMAL AIRTIME AND CARRIER CHARGES AS WELL AS CHARGES FOR WIRELESS INTERNET ACCESS) AND MAY APPEAR ON YOUR MOBILE PHONE BILL OR BE DEDUCTED FROM YOUR PREPAID ACCOUNT BALANCE. WIRELESS CARRIERS' RATE PLANS MAY VARY, AND YOU SHOULD CONTACT YOUR WIRELESS CARRIER FOR MORE INFORMATION ON MESSAGING RATE PLANS AND CHARGES RELATING TO YOUR PARTICIPATION IN THIS SWEEPSTAKES. MOBILE DEVICE SERVICE MAY NOT BE AVAILABLE IN ALL AREAS. CHECK YOUR PHONE'S CAPABILITIES FOR SPECIFIC INSTRUCTIONS. SPONSOR IS NOT RESPONSIBLE FOR ANY CHARGES.

4. Prizes. One (1) Grand Prize. Eligible participants will be able to enter to win one (1) grand prize during the Promotion Period. The following is a description of the grand prize to be awarded to the winner: One (1) Badcock Gift Certificate valued at five hundred dollars ($500). Approximate Retail Value of the grand prize is $500.00. The grand prize is subject to additional terms and conditions set forth below in the section entitled “Prize Terms and Restrictions”.

5. Prize Winner Drawings and Notification. Within seven (7) days after the end of the Promotion Period, Sponsor will randomly select one (1) potential grand prize winner from among all Eligible Entries received during the Promotion Period. The drawing will take place at Sponsor’s headquarters as set forth below. Winner need not be present to win. The potential winner will be notified by phone (via SMS text notification) or email on or about seven (7) after the drawing using the mobile phone number or email address provided by the entrant as part of the entry process. Except where prohibited, the potential winner may be required to sign and return to the Sponsor, within five (5) days of being notified, an Affidavit of Eligibility, Liability & Publicity Release, in order to claim his/her prize. If a potential prize winner cannot be contacted or does not respond within forty-eight (48) hours of attempted notification or return a signed Affidavit of Eligibility and Publicity/Liability Release within five (5) days after attempted notification, that potential prize winner will be disqualified and no alternate winner will be selected. Sponsor is not responsible for failed attempts to notify any potential prize winner or for any e-mail or other correspondence returned as undeliverable without a forwarding address or any other problems, omissions, or technical malfunctions associated with any network, servers, computer equipment, software, applications, or the Internet.

6. Odds of Winning: Odds of winning depend on the number of Eligible Entries received during the Promotion Period.

7. Prize Terms and Restrictions: Any and all applicable federal, state, and local taxes are the sole responsibility of the prize winner. Prize winner may be required to provide Sponsor with his/her social security number and may receive a 1099 IRS tax form for the approximate retail value of the prize. All expenses not expressly stated in the prize description above are the sole responsibility of the winner. Prize cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Only the grand prize stated in these Official Rules is available to be won in the Sweepstakes. Winner must comply with all terms and conditions of these Official Rules in order to claim the prize.

8. Rights. WHERE PERMITTED BY LAW, WINNER AGREES TO GRANT TO SPONSOR AND ITS LICENSEES, AFFILIATES AND ASSIGNS, THE RIGHT TO PRINT, PUBLISH, BROADCAST AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS AND BIOGRAPHICAL INFORMATION AS NEWS OR INFORMATION AND FOR ADVERTISING AND PROMOTIONAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION; AND FURTHER WITHOUT SUCH ADDITIONAL COMPENSATION, APPEAR FOR, OR PROVIDE BIOGRAPHICAL INFORMATION FOR USE IN, ANY PRESENTATION OR OTHER ACTIVITY WHICH MAY INCLUDE FILMING/AUDIO/VIDEO/ELECTRONIC OR OTHER RECORDINGS AND/OR INTERVIEWS, AS MAY BE DETERMINED FROM TIME TO TIME BY SPONSOR.

Failure to make such appearances or grant such rights may result in disqualification with an alternate winner or potential winner selected; and while not obligated to do so, Sponsor may in its sole discretion, bear such reasonable costs and expenses which Sponsor, in its sole discretion, deems appropriate for the winner or potential winner to appear for a presentation or other activity.

Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or Sponsor’s Web site; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor will prosecute any fraudulent activities to the full extent of the law.

9. Limitations of Liability. (a) Sponsor is not responsible for any incorrect or inaccurate information, whether caused by users of Sponsor’s Web site, or tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Web site; (b) Sponsor is not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Web site. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of Sponsor, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes; and (c) IN NO EVENT WILL SPONSOR, ITS LICENSEES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF SPONSOR’S WEB SITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SPONSOR’S WEB SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON SPONSOR’S WEB SITE IS PROVIDED “AS-IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

10. Release and Indemnification. Each entrant agrees to release, defend and hold harmless Sponsor, its licensees, and their respective parents, affiliates, subsidiaries, advertising and promotional agencies and their respective directors, officers, employees, representatives and agents (“Released Parties”) from any and all liability for claims, causes of actions, personal injuries, including death, and property damage, arising out of or related to, in whole or in part, directly or indirectly, participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, possession, receipt, use or misuse of a prize, including but not limited to, publicity rights, defamation, invasion of privacy, intellectual property, proprietary or other property rights of any party or any related cause of action. Furthermore, each entrant shall indemnify and hold harmless the Released Parties from any and all claims, liability, actions, suits, debts, dues, contracts, controversies, agreements, direct or consequential damages, judgments, executions, and demands whatsoever, in law or equity, whether known or unknown, foreseen or unforeseen, resulting or arising from or in connection with the Sweepstakes. Released Parties are not responsible for any inability of any winner to accept or use the prize (or any portion thereof) for any reason.

11. Disputes. As a condition of participating in this Sweepstakes, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connection with the Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in Polk County and State of Florida having competent jurisdiction, which court shall apply the laws of the State of Florida without regard for principles of conflicts of law. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and waives all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering the Sweepstakes), and participant further waives all rights to have damages multiplied or increased.

12. Winner’s List. For the name of the grand prize winner, mail a self-addressed stamped envelope to be received no later than May 5, 2024 to Sponsor at P.O. Box 497 Mulberry, Florida 33860, Attention: “Winner’s List for March/April SMS Sweepstakes.
